Terms of Service

1. Service Description

List AI is an AI-powered cart filling SaaS widget designed for WooCommerce stores. The Service enables store owners ("Customers") to offer their shoppers an intelligent shopping experience where visitors can describe what they need in natural language and receive AI-matched product suggestions assembled into a pre-built cart.

The Service consists of:

• WordPress/WooCommerce Plugin — installed on the Customer's store to connect with the List AI backend and sync the product catalog.
• Product Catalog Sync — automated synchronization of the Customer's WooCommerce product data (titles, descriptions, prices, images, stock status) to the List AI backend for AI matching.
• AI-Powered Widget — a frontend widget embedded on the Customer's store that accepts natural language input from shoppers and returns matched products using AI and semantic search.
• SaaS Backend — cloud infrastructure that processes AI matching, manages product indexes, and serves widget configurations.

2. Account and Registration

Access to the Service is currently available through an early access waitlist. By joining the waitlist and subsequently receiving access, you represent that:

• You are at least 18 years of age or the legal age of majority in your jurisdiction.
• You have the authority to enter into these Terms on behalf of yourself or the business entity you represent.
• The information you provide during registration is accurate and complete.

In the future, the Service may include a self-service dashboard for managing your account, widget configuration, analytics, and billing. We will notify you of any additional terms that may apply when such features become available.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service to facilitate any illegal, fraudulent, or harmful activity.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service or its underlying algorithms.
• Scrape, crawl, or use automated means to extract data from the Service beyond normal plugin operation.
• Interfere with or disrupt the integrity or performance of the Service, including overloading the API with excessive requests.
• Use the Service to transmit malware, viruses, or any other malicious code.
• Resell, sublicense, or redistribute the Service without our prior written consent.
• Misrepresent your identity or affiliation when using the Service.
• Use the Service in a manner that infringes on the intellectual property rights of any third party.

We reserve the right to suspend or terminate your access if we reasonably determine that you are in violation of these terms.

4. Intellectual Property

Our Property. The Service, including its software, algorithms, design, branding, documentation, and all related intellectual property, is and remains the exclusive property of Fit Labs OU. These Terms do not grant you any ownership rights in the Service. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Your Data. You retain full ownership of all data you provide to the Service, including your product catalog data, store configuration, and any content created through your use of the Service ("Customer Data"). By using the Service, you grant us a limited license to process, store, and transmit your Customer Data solely for the purpose of providing and improving the Service.

Feedback. If you provide us with suggestions, ideas, or feedback regarding the Service, you grant us a non-exclusive, royalty-free, perpetual license to use such feedback for any purpose, including improving the Service.

5. Data Handling and Privacy

Your privacy matters to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

With respect to your store's product catalog data:

• We sync and store product data (titles, descriptions, prices, images, stock status, categories) solely to power the AI matching functionality.
• Product data is indexed in our search and vector databases and is not shared with third parties except as necessary to provide the Service.
• You are responsible for ensuring that the product data you sync does not violate any third-party rights.

With respect to your store visitors (end users), the widget does not collect personal data beyond what is necessary for cart functionality. Session data is stored temporarily and is not used for advertising or tracking purposes.

6. Service Availability

We strive to maintain high availability of the Service, but during the early access period, the Service is provided on a "best effort" basis without any guaranteed uptime or service level agreement (SLA).

We may, from time to time:

• Perform scheduled maintenance that may result in temporary service interruptions.
• Modify, update, or improve the Service, which may temporarily affect functionality.
• Experience unplanned outages due to circumstances beyond our reasonable control.

We will make commercially reasonable efforts to notify you of planned maintenance that may significantly impact your use of the Service. As the Service matures, we intend to introduce formal SLAs for paying customers.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated product matches will be accurate or complete.
• In no event shall Fit Labs OU, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service.
• Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid us for the Service in the twelve (12) months preceding the claim, or one hundred euros (EUR 100), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

8. Pricing and Payment

The Service is currently free during the early access period. No payment is required to join the waitlist or use the Service while in early access.

We plan to introduce paid plans in the future. When pricing is established:

• We will provide at least 30 days' advance notice before any charges apply to your account.
• You will have the opportunity to review the pricing and choose whether to continue using the Service under the new terms.
• A free tier or trial period may be available, details of which will be communicated at that time.

All future pricing and payment terms will be published on our website and communicated to existing users via email.

9. Termination

Either party may terminate this agreement at any time:

• By you: You may stop using the Service and deactivate the plugin at any time. You may also request account deletion by contacting us at support@gladmade.com.
• By us: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. We will make reasonable efforts to provide advance notice when possible, except in cases of violation of these Terms or other urgent circumstances.

Upon termination:

• Your right to use the Service will cease immediately.
• We will make your Customer Data available for export for a period of 30 days following termination, upon request.
• After the 30-day export period, we may delete your Customer Data from our systems in accordance with our data retention policies.
• Any provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, and governing law sections.

10. Indemnification

You agree to indemnify, defend, and hold harmless Fit Labs OU and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service in violation of these Terms.
• Your violation of any applicable law or regulation.
• Any content or data you provide through the Service that infringes on third-party rights.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of Harju County Court (Harju Maakohus), Tallinn, Estonia.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last updated" date at the top of this page.
• We will notify you of material changes via the email address associated with your account.
• Continued use of the Service after such notification constitutes acceptance of the updated Terms.

If you do not agree to the revised Terms, you should discontinue use of the Service and contact us to close your account.

13. Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fit Labs OU regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor in connection with a merger, acquisition, or sale of assets.
• Force Majeure. We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, government action, or internet disruptions.
